Distance Sales Agreement

1. Parties

The user purchasing the service through the Platform (the "Buyer"). Buyer details are collected during the order process.

2. Subject of the Agreement

The subject of this agreement is the sale and delivery of the digital services purchased electronically by the Buyer through the YouReply Intelligenceplatform, and the determination of the parties' rights and obligations.

3. Service Details

The essential characteristics of the service are set out on the Platform's product and pricing pages. The services offered for sale are:

• YouReply Intelligence Academic plan (monthly/annual subscription)
• YouReply Intelligence Individual plan (monthly/annual subscription)
• YouReply Intelligence Small Teams plan (monthly/annual subscription)
• YouReply Intelligence Business plan (monthly/annual subscription)
• Custom analysis, integration and reporting services

4. Fee and Payment

Service fees are stated in Turkish Lira on the Platform's pricing page. Prices include VAT. Payment is made by credit card, debit card or bank transfer. Payment is taken as a one-off charge and the subscription does not renew automatically at the end of the period; a Buyer wishing to continue makes a new payment for the new period.

5. Performance

Digital services are made available immediately upon payment confirmation and remain active on the Buyer's account for the duration of the selected plan.

6. Right of Withdrawal

Pursuant to Consumer Protection Law no. 6502 and the Regulation on Distance Contracts, the right of withdrawal cannot be exercised for contracts concerning intangible goods performed instantaneously in electronic form and delivered instantly to the consumer. The Buyer is informed of this and gives consent before completing the purchase.

However, YouReply charges no fee to users who cancel within the free trial period.

7. General Provisions

The Buyer acknowledges and declares that they have approved the preliminary information form and this agreement electronically, and that they were informed of the essential characteristics of the service, the sale price, the payment method and the delivery conditions.

8. Dispute Resolution

Consumer Arbitration Committees and Consumer Courts have jurisdiction over disputes arising from this agreement. The applicable law is that of the Republic of Türkiye.

9. Effective Date

This agreement takes effect on the date it is approved electronically by the Buyer.
